Role Summary

We are seeking qualified solicitor to join our team to manage the internal legal function in a standalone capacity.

Main Purpose of Job

>      To be responsible for drafting, negotiating, interpreting, executing, and administering all corporate and commercial legal documentation with a focus on technology contracts, intellectual property and data protection.

>      To provide company secretarial duties.

>      To be responsible for data protection compliance within the company.

Main duties include: (but not limited to):

>      Review, draft and negotiate licensing and service agreements, partner agreements, framework agreements, supplier agreements and non-disclosure agreements with both private and public clients

>      Drive contract lifecycle from drafting through completion of the negotiation process, and/or contract execution. Manage contract change control process

>      Draft, manage, distribute, respond to, analyse and review tenders, RFPs or customer terms & conditions as necessary  

>      Develop and maintain a deep understanding of legal risk and liability, and company position on contractual matters 

>      Prepare contracts for internal review and approval including a summary of risks vs benefit and ensure compliance with company policies as well as applicable laws and/or regulations 

>      Interpret contract and advise sales /services/ managers on contractual responsibilities

>      Translate complex commercial/legal scenarios into simple language and action plans 

>      Assess legal implications, bringing to Senior Management’s attention as necessary

>      Ensure timely delivery of contract documentation

>      Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken

>      Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff as appropriate

>      Liaise with external legal advisers as necessary 

>      Provide company secretarial duties including preparing board agendas, minutes and resolutions

>      Advise Board and management as to the implications of the company’s shareholders’ agreement, articles, loan agreements and corporate approvals

>      Take responsibility for data protection compliance within the company, including annual information asset register reviews, responsibility for implementing the data breach response plan and annual company training

>      Assisting the business security function in complying with ISO27001, ISO9001 and PCI standards, including drafting policies and procedures

>      Any other reasonable duties as required by Management 

Fundamentals:

>      Must have strong commercial contract drafting skills, be organised and able to work to tight deadlines

>      Due to the cross departmental nature of the work, you must be a team player with good relationship building skills

>      Must be confident to constructively challenge in order to avoid unnecessary business risk

>      Commercially focused lawyer, preferably with experience in technology, cloud and data protection matters.



Experience & Qualifications

>      Qualified solicitor with 4+ years PQE or considerable experience in commercial contract drafting

>      In house experience desirable

>      Prior experience of dealing with technology/ licensing and intellectual property preferred

>      Experience of dealing with senior management and company secretarial matters preferred

>      Right to work independently in the UK
